We provide professional consulting services including, but not limited to: Identity & Access Management (IAM) consulting Security architecture and assessments Identity governance and compliance advisory System design, implementation guidance, and strategy Specific services, deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW), proposal, or contract.
Our services are advisory in nature. While we apply industry best practices and professional expertise, we do not guarantee specific outcomes, including compliance certification, security posture improvements, or risk elimination.
You agree to: Provide accurate, complete, and timely information Grant necessary access to systems, documentation, and stakeholders Ensure compliance with your internal policies and applicable laws Delays or failures caused by incomplete or inaccurate information may affect timelines and outcomes.
Fees are defined in the applicable proposal or SOW Invoices are due within [e.g., 15 or 30] days unless otherwise stated Late payments may incur interest or suspension of services All fees are non-refundable unless explicitly stated in writing.
All methodologies, frameworks, templates, tools, and pre-existing materials remain the exclusive property of Upid Identity.
Upon full payment, you are granted a non-exclusive, non-transferable license to use deliverables for internal business purposes only, unless otherwise agreed.
Both parties agree to maintain the confidentiality of all non-public, proprietary, or sensitive information exchanged during the engagement. Confidentiality obligations survive termination of services.
We do not intentionally store client production credentials or sensitive personal data unless explicitly required and agreed upon in writing. You acknowledge that: Consulting engagements may involve access to sensitive systems Ultimate responsibility for data security remains with the client Refer to our Privacy Policy for website-related data handling.
We may recommend or interact with third-party platforms (e.g., IAM vendors, cloud providers). We are not responsible for third-party services, outages, security incidents, or contractual terms.
To the maximum extent permitted by law: We are not liable for indirect, incidental, special, or consequential damages Our total liability shall not exceed the fees paid for the specific services giving rise to the claim This applies regardless of legal theory (contract, tort, negligence, etc.).
You agree to indemnify and hold harmless Upid Identity from claims arising out of: Misuse of deliverables Violation of laws or regulations Unauthorized system changes or implementations
Either party may terminate services: As specified in the SOW, or With written notice if no SOW exists Outstanding fees for work performed up to termination remain payable.
You agree not to: Attempt unauthorized access to our systems Use the website for unlawful purposes Copy or redistribute website content without permission
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
We may update these Terms periodically. Continued use of our website or services constitutes acceptance of the updated Terms.
